1. Who these terms are between
These terms apply to the BusyBee Tax software, its web app, API, command line tool and Model Context Protocol server (together, "the service"), provided by BusyBee, registered with the Netherlands Chamber of Commerce under number 92886787, Nachtegaalstraat 11, 1021 ER Amsterdam ("BusyBee", "we").
The customer is the organisation that opens an account ("you"). The service is meant for businesses and their advisers, not for consumers. The person who accepts these terms confirms they may bind the organisation.
2. The service
BusyBee Tax helps you keep your books, prepare tax returns and related reports, check them, file them with the tax authorities through their official channels, and prepare tax payments. Which countries, filings and connections are available is described in the service and may change over time.
Some filings cannot be sent electronically by software. For those, the service prepares the figures and you file them yourself in the authority's portal.
3. Your account and users
- You give correct details when you sign up and keep them up to date.
- You decide who may use your account and with which roles, and keep passwords and API keys secret. Actions taken with your users' sign-ins or keys count as yours.
- Tell us at once if you think someone has misused your account.
4. Your responsibility for your figures and filings
You stay responsible for your bookkeeping, your tax returns and your payments, and for meeting the deadlines that apply to you. The service calculates and checks, but it is not tax advice. In particular:
- You check what the service prepares before it is filed. A return can only be filed after it has been reviewed by a person other than the one who prepared it, and payments only move after someone with the payer role approves them.
- When you connect an ERP system, bank, or AI assistant, you are responsible for what it does in your account within the access you gave it.
- If you file for clients, you need their authorisation (such as a machtiging) and you record it in the service before filing for them.
5. Your data
Your data stays yours. You give us the right to use it only to provide the service to you. For personal data in your account, we act as your processor; the data processing agreement in the annex below applies and forms part of these terms. Our privacy policy explains how we handle the personal data of your users.
You can export your data at any time through the service, including in the standard audit file formats. After your account is closed, you have 3 months to export it, after which we delete it.
6. Fair use
Do not use the service for anything unlawful, try to reach other customers' data, test its security without our written permission, or put it under a load that harms other customers. We may suspend access to stop misuse, and will tell you why.
7. Fees
Fees, the invoicing period and the payment term are agreed with each customer in writing before the service starts. The agreed fee is the whole price: there is no set-up fee and we charge nothing on top of it unless you have agreed to it in writing first. Unless agreed otherwise, invoices are payable within 14 days. We may change prices with at least 30 days' notice; you may then end the agreement before the change takes effect.
Launch offer. New customers who sign up during our launch period pay 50% of the agreed fee for the software apps for their first 12 months and get onboarding free of charge (setting up the account and importing their existing data). Your written agreement states that the offer applies and when your first 12 months end. Expert services, such as bookkeeping, payroll administration and tax advice, are priced separately in an individual quote.
8. Availability and changes
We work to keep the service available and to keep it in line with the tax authorities' requirements, but we cannot guarantee it is never interrupted. Authorities' own systems are outside our control. We announce planned maintenance in advance where we can. We may improve or change the service; if we remove a function you rely on, we tell you in advance.
9. Liability
Our total liability for any claim in a calendar year is limited to the fees you paid us in the 12 months before the event, with a minimum of EUR 5,000. We are not liable for indirect loss, such as lost profit, or for fines and interest that result from figures you supplied or approved, from a filing you did not review, or from a missed deadline in the authority's own systems. These limits do not apply to loss caused by our intent or gross negligence.
10. Term and ending
The agreement runs until you or we end it. You may close your account at any time. We may end it with 3 months' notice, or at once if you seriously breach these terms. Clauses that by their nature last beyond the end, such as liability and the deletion of data, stay in force.
11. Changes to these terms
We may change these terms. We tell you at least 30 days before a change that is to your disadvantage takes effect; if you do not agree, you may end the agreement before then.
12. Law and disputes
Dutch law applies. Disputes go to the competent court in Amsterdam.
Annex: data processing agreement
This annex applies where we process personal data for you as your processor under Article 28 of the General Data Protection Regulation.
- Subject and duration. We process the personal data you put into the service, for as long as you use it and the export period after.
- Instructions. We process it only to provide the service and on your documented instructions, which include your use of the service's functions, unless the law requires otherwise; we then tell you first where allowed.
- Kinds of data and people. Contact, identification and financial data of your staff, employees, customers, suppliers and clients, including citizen service numbers where tax or pension law requires them.
- Confidentiality. Anyone working for us who can access the data is bound to confidentiality.
- Security. We take appropriate technical and organisational measures, as described in the privacy policy, and keep them up to date.
- Sub-processors. You allow us to use the sub-processors listed in the privacy policy. We tell you before adding or replacing one, and you may object. They are bound to the same obligations.
- Help. We help you answer requests from the people concerned, carry out impact assessments, and meet your security and notification duties.
- Breaches. We tell you without undue delay, and within 48 hours of discovery, about a personal data breach affecting your data, with the information you need to report it.
- End. At the end of the service we delete your personal data after the export period, unless the law requires us to keep it.
- Audits. We give you the information needed to show we meet these obligations, and allow reasonable audits at your cost, with notice.
